March 2026 was an important date when the U.S. Securities and Exchange Commission (SEC) made a leap forward towards regulatory clarity in regard to the cryptocurrency sector. The SEC issued on March 17, 2026, interpretative guidance on the classification of most digital assets as not being commercial securities based on the classification of the tokens released by the SEC and the CFTC. Digital Securities - Tokenized forms of Traditional Securities, which are also subject to oversight from the SEC. Based on this guidance all digital assets are considered securities, whereas four out of five will not be unless they are offered for sale as part of a "Howey" investment contract, that is, pursuant to the rules established under a well-known 1946 Supreme Court case which defined an investment contract to be where money is placed at risk in a collective effort with an expectation of making a profit primarily as a result of someone else's efforts. Chair Atkins has made it clear that this guidance represents a major break from the prior administration's treatment of many crypto assets as securities by default. During that interview, Sorkin noted that certain NFT structures could potentially constitute securities; for example, if they included revenue share, fractional ownership with profit expectations, or otherwise linked value to the promoter's ability to deliver an ongoing business through further investment in that asset.Atkins had responded pragmatically, saying; “That is true with anything”, citing that SEC review analysis is dependent on the actual facts and circumstances of an asset. He provided the example of digital collectibles; (ex. NFTs), most of the time they are purchased and maintained for personal enjoyment, enjoyment, expression, and collection (just like physical examples such as sports trading cards, artwork, collectibles, or sports memorabilia). Most buyers do not expect to make a profit off the managerial efforts with respect to cryptocurrencies or anything else for that matter. This is what constitutes most of the definitions established by SEC in regards to an "investment contract" per the Howey test. According to Atkins, "Certain collectibles, such as baseball cards, memes and memecoins, NFT's — they all represent a permanent purchase" and therefore cannot be traded like typical physical assests, which individuals anticipate to earn based upon the promotional ability of the people associated with said product. It is extremely important to make this distinction. The SEC (the regulator of any market) considers the secondary market with respect to NFTs to be like an exchange where unique collectibles are purchased or traded, rather than something where you are making a business investment.However, there could be some structures (like fractionalizing an NFT with revenue sharing or ongoing development by the issuer) that may be subject to an investment contract analysis, raising the potential for an item being regulated as a security.<h2>Why This Matters for the NFT Market</h2>The NFT industry is highly supported because of a need to clarify; the market for NFTs has been uncertain since it exploded in 2021. Many NFT creators, platforms and collectors feared that a broad application of securities regulations would stifle innovation in the creation of digital art, gaming items, music rights, virtual real estate and memes. The guidance's categorization of the majority of NFTs as digital collectibles that do not fall under securities jurisdiction, effectively lowers registration, disclosure obligations and abuse risk for normal use cases. This effort complements Atkins’ larger agenda of promoting innovation at the same time protecting investors, which has been discussed at the DC Blockchain Summit. According to industry experts, the new framework could help to accelerate more traditional uses for NFTs instead of just being a speculative tool, and place more emphasis on utility: media, entertainment, brand awareness and personal property. However, NFT promoters need to carefully design their products and services so they are not deemed investment contracts.<h2>Broader Implications and Next Steps</h2>As an informal rule, the guidance released by the SEC indicates that there will be greater coordination between the SEC and CFTC and a more nuanced approach to regulating cryptocurrencies now that new leaders are in place. The regulatory clarity in the interpretive guidance has also been welcomed by market participants who view it as putting an end to years of "regulation by enforcement." Atkins has suggested that further action may occur in terms of safe havens or future rulemaking as the agency develops its standpoint on this issue! For the time being, guidance and interviews such as those given by Mr. Atkins highlight an important principle: the mere presence of "NFT" or any label does not mean that the marketplace should be exempt from scrutiny. Whether an asset qualifies as an asset or not is determined by how the asset is sold, how the asset is used, and what its actual economic use is. The framework provided in this guidance will serve as the basis for determining whether a collectible is really a true collectible or whether it is simply an investment that has been masked as a collectible, and the resolution of this balance between true collectibles and hidden investments may well determine the future of digital asset innovation.
